GMBH firm related questions

Hi everyone,


Can someone please answer the following questions or point me to somewhere I can get my questions answered in English :-)?


1. What are the average costs in forming GMBH? 


2. How long it takes on average?


3. If I understood it correctly, GMBH protects the shareholders in case of bankrupcy where the amount incurred to them personally is 20,000 and nothing more, even if the debt is multiples of this amount. Is it correct? Or is it only in AG case?


4. Do you have someone to recommend for starting a GMBH?

I set up a GMBH two years ago and have been actively trading since then.


1. GMBH set-up costs are about 5k CHF on average. However if you have complex questions about the way you will trade this could easily grow. I spent about 15k CHF as I also required a Labour Leasing Licence. By comparison, I have a friend that spent about 30k CHF!!!!! Don't bother with an AG for now - thje deposit requirements are 100k CHF and you you have to leave this in the company. Also, you do not need to have an AG on Day 1 as as you can upgrade a GMBH later to an AG for about 5kCHF plus the deposit.


2. It normally takes a couple of months realistically but it can take up to 6 months depending on the complexity of your operating model as above. I think it took me about 4 months for example from start to finish.


3. You are liable for 20k of losses only. In practice you have to put up 20k CHF on Day 12 of the company set-up when they register the operation. However you can take this out on Day 2 and use it for business requirements (as long as you know you are still utimately liable for the first 20k of losses)


In terms of someone to do the set-up etc, I used the encloased company and have been using them for 2 years. I simpy would never look back - they are absolutely amazing!
