I would be enormously grateful for any advise on the legal requirements for a UK registered company in terms of compliance prior to commencing trading at a Swiss address.

Hey John,


You will need to register a branch office here (or a subsidiary, although I generally and normally recommend a branch, since with such you can shift yearly profits up to the "mother" UK co tax free, which is not the case for a sub. Also, you will not need to come up with any new share capital for a branch, which is normally a good thing also... :o), which is fairly easily done but needs to go via a notary, unfortunately. Who charges a rather hefty sum for such (Naturally. Welcome to Switzerland!! :o)


No getting around such, unfortunately(believe me. I've TRIED!!), albeit using notaries in other cantons than Geneva, Zürich or Züg (where most charge 3,000-3,500 fr. .I know. ROBBERY, right!!?? is at least a little cheaper ( 2,000 - 2,500 fr). The branch need be registered with the trade registry in the canton where its branch office will be located, but a notary anywhere in CH can be used. A Swiss-based Branch Manager need further be appointed, legalized corporate docs of the UK co as well as ID docs for its director ( no older than 3 months) be submitted and branch regulations drafted, et cetera.........
