Experience of stating a Sàrl in Canton Geneve?

Hello there,

Does anyone have experience of setting up a one person company in Geneva? If so, I'd be grateful of any help or advice that you might be able to give. I've got a few questions on the process, and I'm struggling to find the information I need elsewhere so I thought I would ask on here.

I'm grateful for any advice. Thanks.

Hi Rachel
I am not a prfessional to setup , but have setup few times Sarl companies, using a notary (necessary).
Send me PM message and your questions, i can give you useful infomation.

Formation is CHF 20,000 to be held with Notary till setup.
Need open bank account for the Sarl, if a bank accepts, its great.
You can draw down half that amoutn before the company , technically is insolvent.
You have tax declarations, employee declarations, social charge declarations, etc.
Once you setup the company, you will get hundreds of mailings of advertising too hep your company, many are useless.
Your company and directors/management names are published in a business registry.
A company Sarl does not give residency rights.
Its is a Limited Liability company, so only the company assets are vulnerable. Not your personal assets. Unless you comit fraud or due to profession you could be liable for negligence.

As such, and as as you may know , you must have insurance for everything in switzerland.

Notary fees are not cheep, several thousand Swiss francs (includes the journal listing, commerce legal setup, etc.)
And it is not necessary to have swiss or swiss resident directors. Dont pay extra for that.

Also the canton of Geneva has twice a monthly meeting for providing ideas, networking, and supports.

www.ge.ch/entreprises - Invitation - Petit déjeuner des PME et des start-up du Service de la  promotion économique de Genève

I can recommend small notaries or fiduciaries athat are very helpful to startups and PME's.

Further there are several groups, clubs etc that help with ideas on startups.

Like Meetup, Geneva enterpleneurs, etc.

Finally good luck and I will help you if I can.

As a private individual  or a one person company you can also consider registering your name at company registrar and you will be officialy listed (with less hassle than Sarl company) and no need to go to a notary. Not knowing your activity though , service or product manufacturing, this procedure may not always apply and you do need further investigation at Registre du Commerce downtown Geneva.

You can actually set up a UK Ltd company and then register it with Registre du Commerce in Geneva, just indicating it is a subsidiary. Much cheaper (a couple of hundred pounds for a foreign resident).

It is a temporary deal, but gives you enough time to make a profit and have the means to register properly and ask for legal advice.
